1. Acceptance
These Terms of Service ("Terms") form a binding agreement between Leegwater GmbH, Jona, Switzerland ("Flok", "we") and the individual or entity that opens an account ("Customer", "you"). If you sign up on behalf of an organisation, you confirm you are authorised to bind that organisation.
2. Your account
- You must provide accurate information and keep your credentials confidential.
- You are responsible for all activity performed under your account, including by users you invite.
- You must notify us promptly of any unauthorised access at security@getflok.app.
3. Acceptable use
You agree not to use Flok to:
- Violate any law, including data protection, spam or export-control laws.
- Send unsolicited bulk email or content that is unlawful, abusive, defamatory or infringing.
- Attempt to breach, probe or reverse-engineer the service, or interfere with other Customers.
- Upload malware, or use Flok to build a competing product.
4. Customer data
You retain all rights in the data you upload ("Customer Data"). You grant Flok a limited, worldwide licence to host, process and display Customer Data solely to provide and support the service. Flok's handling of personal data is governed by our Privacy Policy and, where required, a separate Data Processing Agreement.
5. Fees & billing
- Subscription fees are billed in advance, monthly or annually, in the currency shown at checkout.
- Fees are non-refundable except where required by law. Downgrades take effect at the next renewal.
- Overdue invoices may lead to suspension after written notice.
- Applicable taxes are added at the statutory rate.
6. Trial & free plan
Free trials and free-tier plans are provided "as is" without any warranty and may change or end at any time. We may delete data from inactive free accounts after 90 days of inactivity.
7. Intellectual property
Flok, the Flok mark and all software, templates and documentation are owned by Leegwater GmbH or its licensors. Nothing in these Terms transfers ownership. Feedback you submit may be used by Flok without restriction to improve the service.
8. Third-party services
The service may integrate with third parties (payments, email delivery, analytics). Your use of those integrations is subject to the third party's own terms and privacy policy. Flok is not responsible for third-party services.
9. Term & termination
- These Terms apply while you use the service.
- Either party may terminate for material breach not cured within 30 days of written notice.
- On termination we will make Customer Data available for export for 30 days, then delete it unless retention is required by law.
10. Warranty disclaimer
The service is provided "as is" and "as available". To the maximum extent permitted by law, Flok disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the extent permitted by law, Flok's aggregate liability arising out of these Terms is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental or consequential damages.
Flok supplies template documents — including the ticket terms-and-conditions generator — as a drafting aid only. Flok makes no representation that any template content is legally adequate, complete, or fit for a particular club's jurisdiction, canton, or type of event, and accepts no liability arising from a tenant's use or publication of it. Reviewing and adapting template content, including with independent legal counsel, remains the tenant's sole responsibility.
12. Governing law & venue
These Terms are governed by the laws of Switzerland, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Exclusive jurisdiction lies with the courts at Leegwater GmbH's registered office in Jona, Switzerland, unless mandatory consumer law provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
